These Terms govern your use of Kalva — the BNPO (Buy Now Pay Overtime) escrow platform operated by Nexzend LLC, a Delaware limited liability company. By using Kalva, you agree to these Terms. Please read them carefully — they include an arbitration clause and a class-action waiver.
Acceptance of these Terms
By creating an account, embedding the Kalva widget, or making a reservation through Kalva, you agree to be bound by these Terms of Service (the "Terms") and by our Privacy Policy and Cancellation Policy, each of which is incorporated by reference. If you do not agree, do not use the service.
These Terms form a binding contract between you and Nexzend LLC (referred to as "Kalva," "we," "us," or "our"). "You" means the individual or business entity using Kalva. If you accept these Terms on behalf of a business, you represent that you have authority to bind that business.
What Kalva is — and is not
Kalva is an escrow-based installment booking platform for travel and tourism. When a customer reserves a stay or experience, Kalva collects the booking amount in interest-free installments and holds the funds in a segregated escrow arrangement at our regulated payments partner. The operator (resort, excursion provider, or other travel supplier) is paid only after the full booking amount has been collected.
Kalva is not a lender. We do not extend credit, originate loans, or assume default risk on your behalf. We do not charge interest. Kalva is not a "Buy Now Pay Later" (BNPL) product — there is no loan, no credit underwriting, and no finance charge. Customers pre-pay their booking; bookings do not confirm until pre-payment completes.
Kalva is not a travel agent, tour operator, or seller of travel. Kalva does not deliver travel services, does not control inventory, and is not responsible for the quality, safety, or delivery of any operator's services.
Eligibility
To use Kalva as a customer, you must:
- Be at least eighteen (18) years of age (or the age of majority in your jurisdiction, whichever is greater);
- Have legal capacity to enter binding contracts;
- Not be a person prohibited from receiving services under U.S. law, including persons listed on any U.S. Office of Foreign Assets Control (OFAC) sanctions list;
- Provide accurate, current, and complete information at the time of booking.
Kalva is available to customers globally, including customers based in the United States. All transactions are denominated in United States Dollars (USD).
Accounts and identity verification
Kalva applies a tiered identity verification policy based on booking value, in accordance with our Anti-Money-Laundering and Bank Secrecy Act program:
- Tier 1 — all bookings: basic identifying information (name, email, phone, country of residence, passport details for the travel booking).
- Tier 2 — bookings of $5,000 USD or more: identity verification via government-issued photo ID and selfie capture through our verification partner.
- Tier 3 — bookings of $10,000 USD or more: Tier 2 verification plus a manual review with up to a 24-hour hold prior to charge authorization.
You authorize Kalva and our verification partners to perform identity, sanctions, and fraud checks on the information you provide. Submission of falsified or fraudulent information will result in immediate booking cancellation, refund forfeiture where lawfully permitted, and may be reported to law enforcement and to the U.S. Financial Crimes Enforcement Network (FinCEN) as a Suspicious Activity Report.
How installment bookings work
When you place a reservation, Kalva will display the available installment plans for that booking — typically pay-in-full, pay-in-2, pay-in-3, pay-in-4, or pay-in-6. The number of plans available depends on how far in advance of your travel date you are booking. Installments are charged bi-weekly. The first installment is charged at the time of booking. The schedule of remaining installments and their charge dates are shown to you before you confirm.
A booking is in "Reserved" status until all installments are collected. A Reserved booking is not a confirmed booking and may not be presented to the operator as evidence of a confirmed stay or service. Upon collection of the final installment, the booking moves to "Confirmed" status and Kalva remits the booking amount (less our commission) to the operator.
Kalva charges no fees to the customer. Operators pay a commission on each successful booking. There is no interest, no finance charge, and no APR — these concepts do not apply because Kalva is not a credit product.
Payment authorization and card requirements
By selecting an installment plan and proceeding to checkout, you authorize Kalva and our payments processor (Stripe Payments) to charge your designated payment method for the first installment immediately and for each subsequent installment on its scheduled charge date, in accordance with the plan you selected.
Kalva accepts credit cards only — Visa, Mastercard, American Express, Discover, Diners Club, JCB, and UnionPay. Debit cards and prepaid cards are redirected to the pay-in-full option. 3D Secure bank verification is enforced on one hundred percent (100%) of transactions.
You are responsible for keeping your payment method valid. If your card expires, is cancelled, or is replaced, you must update your payment method before the next scheduled charge.
Late, missed, and failed payments
If a scheduled installment payment fails (insufficient funds, expired card, declined authorization), Kalva will:
- Notify you by email and/or SMS within twenty-four (24) hours of the failure;
- Apply a two (2) calendar-day grace period during which you may update your payment method or arrange payment without penalty;
- Charge a flat late fee of fifteen U.S. dollars ($15) per installment if the grace period expires without successful payment;
- Automatically cancel the booking upon two (2) consecutive failed installments. Funds previously collected will be refunded in accordance with our Cancellation Policy, less any late fees already assessed.
Because Kalva is not a lender, failed or missed payments are not reported to consumer credit bureaus and do not affect your credit score.
Cancellation and refunds
Customer-initiated cancellation refunds follow a tiered schedule based on how far ahead of the travel date the cancellation is requested:
- Thirty (30) or more days before travel: 85% refund of amounts collected.
- Fewer than thirty (30) days before travel: 50% refund of amounts collected.
- Within seven (7) days of travel: no refund.
Cancellations of bookings still in Reserved status (installments not fully collected) are processed as set out above against amounts collected to date. One (1) free reschedule is available per booking, provided the reschedule is requested at least thirty (30) days before the original travel date.

Operator-side cancellations
If an operator cancels a confirmed booking, fails to honor a confirmed reservation, or is unable to deliver the booked service for any reason within the operator's control, Kalva will refund 100% of amounts collected from the customer within ten (10) business days.
Force majeure events (natural disasters, government travel restrictions, pandemic-related closures, civil unrest) are governed separately under the Cancellation Policy.
Compliance — sanctions, AML, fraud
Nexzend LLC operates a Bank Secrecy Act / Anti-Money-Laundering program. We screen every customer against OFAC's Specially Designated Nationals (SDN) and Consolidated Sanctions Lists prior to booking confirmation. We may file Suspicious Activity Reports (SARs) with FinCEN as required by law. We may decline any booking, hold or reverse any payment, and terminate any account at our reasonable discretion to comply with applicable law or to prevent fraud, money laundering, or sanctions violations.
Card data never touches Kalva's servers. All card data is collected directly by our PCI-DSS-compliant payments processor (Stripe Payments) and is subject to its security standards.
Acceptable use
You agree not to:
- Use Kalva to make bookings on behalf of another person without that person's authority;
- Provide false, misleading, or fraudulent information in any booking;
- Use Kalva to launder funds, evade taxes, or circumvent sanctions;
- Reverse-engineer, decompile, or scrape the platform, the widget, or our APIs;
- Interfere with the security or operation of Kalva, our payments processor, or any operator;
- Use Kalva for any unlawful purpose.
Intellectual property
The Kalva name, the Kalva wordmark, the cobalt-violet "K" glyph, the widget, the platform software, and all related materials are owned by Nexzend LLC and are protected by U.S. and international intellectual-property laws. We grant operators a limited, revocable, non-exclusive, non-transferable license to embed the Kalva widget on their booking pages for the sole purpose of facilitating Kalva-powered reservations. All other rights are reserved.
Disclaimers and limitation of liability
Kalva is provided "as is" and "as available" without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement, except as expressly required by applicable law.
To the maximum extent permitted by law, the aggregate liability of Nexzend LLC arising out of or relating to your use of Kalva, whether in contract, tort, or otherwise, shall not exceed the amount of commissions actually received by Nexzend LLC in respect of your bookings during the six (6) months preceding the event giving rise to the claim. In no event shall Nexzend LLC be liable for any indirect, incidental, consequential, special, or punitive damages, including lost profits, lost data, or business interruption.
Nothing in these Terms limits liability that cannot lawfully be limited under applicable law (including, where applicable, liability for fraud or for death or personal injury caused by negligence).
Indemnification
You agree to defend, indemnify, and hold harmless Nexzend LLC, its affiliates, and their respective officers, directors, employees, and agents from and against any claims, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to (a) your breach of these Terms, (b) your violation of any law or any third party's rights, or (c) the falsity of any information you provided to Kalva.
Governing law and arbitration
These Terms are governed by the laws of the State of Delaware, without regard to its conflict-of-laws principles. Any dispute, claim, or controversy arising out of or relating to these Terms or to Kalva (a "Dispute") shall be resolved by binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules, before a single arbitrator, seated in Wilmington, Delaware, in the English language.
Class action waiver. You agree that any Dispute shall be arbitrated only in your individual capacity and not on a class, collective, or representative basis. The arbitrator may not consolidate more than one person's claims and may not preside over any form of representative or class proceeding.
Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to protect its intellectual-property rights or confidential information.
Changes, termination, and contact
Kalva may update these Terms from time to time. Material changes will be notified to registered users at the email address on file no fewer than fourteen (14) days before the changes take effect, except where a shorter period is required by law. Continued use of Kalva after the effective date constitutes acceptance of the updated Terms.
Either party may terminate the relationship at any time. Termination does not affect rights or obligations that accrued prior to termination, including obligations relating to collected funds, refunds, and indemnification.
